1. Introduction
These Terms of Service ("Terms") govern your use of the financial services provided by Trillion Technology and Trades Ltd ("Trillion," "we," "us," or "our"), doing business under the brand name RamperPay.
Trillion Technology and Trades Ltd is a company incorporated in Nigeria (Registration Number: RC 9261037), with its registered office at No. 65 Nike Lake Road, Enugu, Enugu State, 400103. Trillion is registered with the Corporate Affairs Commission (CAC) and the Special Control Unit against Money Laundering (SCUML) of Nigeria.
For the purposes of these Terms, "Customer" means any individual, business, organisation, or other legal entity that accesses or uses the Services.
Through the RamperPay platform, including mobile applications, web applications, APIs, and other interfaces made available by Trillion (the "Platform"), Trillion provides eligible Customers with access to the following services (the "Services"):
- Multi-currency and crypto wallet accounts
- Payment collection and payout services
- Domestic and cross-border remittances
- Crypto-to-fiat and fiat-to-crypto conversion services
- Digital asset transaction and settlement services
- Other financial services that may be made available by Trillion from time to time
By accessing or using the Services, you agree to be bound by these Terms, together with our Privacy Policy.
2. Eligibility and Account Opening
To use the Services provided by Trillion through the Platform, you must:
- Be an individual who is at least 18 years of age and has the legal capacity to enter into a binding agreement, or
- Be a legally constituted business, organisation, or other legal entity acting through an authorised representative
- Reside or operate in a jurisdiction where we are legally permitted to offer the Services, and
- Successfully complete our account registration and verification process
We may decline to open an account or provide Services at our sole discretion and without obligation to disclose reasons.
Identity and Business Verification (KYC/KYB)
You must provide accurate and complete information during the registration process. We may verify your identity, your business, your directors, beneficial owners, authorised users, source of funds, source of wealth, and other information necessary to comply with applicable anti-money laundering, anti-terrorist financing, sanctions, fraud prevention, and other regulatory requirements, including verification of your National Identification Number (NIN) and Bank Verification Number (BVN) where applicable.
You agree to keep your account information current and to promptly notify us of any material changes.
Where you are opening or operating an account on behalf of a business or organisation, you represent and warrant that you are authorised to act on its behalf and bind it to these Terms.
You are responsible for maintaining the security of your account credentials and any devices used to access the Platform.
3. Services Provided
Trillion may provide eligible Customers with access to one or more of the following Services through the Platform:
a) Accounts and Wallets
Trillion may provide Customers with access to multi-currency accounts, crypto wallets, collection accounts, and other account structures made available through the Platform. Such accounts may be provided directly by Trillion or through regulated banking, payment, or financial institution partners, and may be subject to additional terms, conditions, limits, and eligibility requirements.
b) Payment Collection and Payout Services
Customers may use the Services to collect, receive, send, transfer, and settle funds in supported currencies, including domestic and cross-border remittances, subject to applicable fees, limits, and regulatory requirements.
c) Crypto-to-Fiat and Fiat-to-Crypto Conversion Services
Trillion may provide conversion services enabling Customers to convert between supported cryptocurrencies and fiat currencies. Exchange rates may vary based on market conditions, transaction size, liquidity, and other factors.
d) Digital Asset Services
Trillion may provide services involving supported digital assets, including the receipt, transfer, conversion, settlement, and redemption of such assets, subject to applicable laws, regulatory requirements, eligibility criteria, and any limits communicated through the Platform.
e) Remittance Services
Trillion may provide cross-border remittance services enabling Customers to send and receive funds internationally, subject to applicable fees, limits, and compliance requirements.
Service Limitations
Services may not be available in all jurisdictions and may be subject to transaction limits, eligibility criteria, compliance requirements, and additional terms.
Trillion does not currently provide credit facilities, lending products, deposit insurance, or investment products unless expressly stated otherwise.
4. Fees and Charges
Fees may apply to certain Services, including but not limited to:
- Payment collection fees
- Payment and transfer fees
- Crypto-to-fiat and fiat-to-crypto conversion fees
- Remittance fees
- Account or platform fees
- Digital asset settlement fees
- Account maintenance or inactivity fees, if applicable
All applicable fees will be disclosed through the Platform, communicated separately, or otherwise made available to Customers prior to the provision of the relevant Service.
You agree to pay all applicable fees in connection with your use of the Services. Fees may be deducted from your account balance, settlement proceeds, transaction amount, or otherwise collected using a payment method authorised by you.
Trillion reserves the right to update its fees from time to time. Any changes to fees will be communicated through the Platform, our website, or other reasonable means of notice.
5. Customer Responsibilities
When using the Services, you agree to:
- Provide accurate, current, and complete information during registration and at all times thereafter
- Promptly update any information necessary to keep your account details accurate and current
- Use the Services only for lawful purposes and in compliance with these Terms and all applicable laws and regulations
- Maintain the security and confidentiality of your account credentials, authorised users, devices, API credentials, and other access methods
- Notify Trillion promptly of any suspected unauthorised access, security incident, fraud, or misuse of the Services
- Cooperate with any reasonable requests for information required to satisfy legal, regulatory, compliance, risk management, or security obligations
Where you are a business Customer, you are responsible for the acts and omissions of your directors, officers, employees, contractors, authorised users, and any person acting on your behalf in connection with the Services.
Prohibited Uses
You may not use the Services:
- For any illegal purpose or in connection with any unlawful activity
- To engage in fraud, money laundering, terrorist financing, sanctions evasion, or any other financial crime
- To facilitate the sale, distribution, or financing of illegal goods or services
- In a manner that infringes the rights of any person or entity
- To provide false, misleading, or inaccurate information
- To impersonate another person or misrepresent your identity, authority, or affiliation
- In any manner that could harm Trillion, its partners, service providers, Customers, or the integrity of the Services
Trillion reserves the right to monitor, investigate, restrict, suspend, decline, delay, or report activity conducted through the Services where required by law, regulation, court order, or its internal risk and compliance policies.
6. Risk Disclosure
By using the Services, you acknowledge and accept the following risks:
Foreign Exchange and Crypto Conversion Risk
Exchange rates may fluctuate between the time a transaction is initiated and completed. Customers using conversion services accept the risk of such fluctuations and understand that rates may vary based on market conditions, liquidity, transaction size, and timing.
Payment and Settlement Risk
Payment, collection, payout, and settlement services may be subject to delays, interruptions, reversals, compliance reviews, or operational issues involving Trillion, banking partners, payment providers, digital asset networks, or other third parties.
Digital Asset Risk
Services involving digital assets may be subject to market, technological, operational, cybersecurity, regulatory, and network risks. Transaction processing times, settlement times, and asset availability may be affected by factors outside Trillion's control.
Third Party Service Providers
Certain Services rely on third party financial institutions, payment providers, banking partners, liquidity providers, digital asset infrastructure providers, and other service providers. Trillion is not responsible for delays, interruptions, errors, or failures caused by such third parties, except where required by applicable law.
No Deposit Insurance
Funds or assets held through the Services are not deposits and are not covered by any government deposit insurance scheme unless expressly stated otherwise.
Service Interruptions
While Trillion takes reasonable steps to maintain the availability and security of the Services, interruptions, outages, maintenance events, cybersecurity incidents, and other disruptions may occur from time to time.
Customers should only use the Services after carefully considering the risks associated with payments, currency conversion, digital assets, and cross-border settlements.
7. Service Availability and Limitations
Trillion aims to provide the Services in a secure, reliable, and compliant manner. However, we do not guarantee that the Services will be available at all times or without interruption.
From time to time, Trillion may suspend, restrict, delay, or modify the Services for maintenance, upgrades, security purposes, compliance reviews, operational requirements, or circumstances beyond our reasonable control.
Trillion is not responsible for delays, interruptions, losses, or damages arising from:
- Service interruptions or outages
- Actions or delays by banking partners, payment providers, digital asset infrastructure providers, liquidity providers, or other third party service providers
- Compliance, regulatory, legal, or law enforcement reviews
- Network, telecommunications, cybersecurity, or technology failures
- Events beyond Trillion's reasonable control
Trillion may establish and modify transaction limits, account limits, volume thresholds, geographic restrictions, product restrictions, or other usage limits to comply with legal, regulatory, risk management, operational, or commercial requirements.
Certain Services, features, currencies, digital assets, jurisdictions, payment methods, or account types may not be available to all Customers and may be introduced, modified, suspended, or withdrawn at any time.
8. Termination and Suspension
Trillion's Right to Suspend, Restrict, or Terminate
Trillion may suspend, restrict, delay, decline, or terminate a Customer's access to the Services, in whole or in part, at any time where:
- The Customer breaches these Terms or any applicable law or regulation
- Trillion reasonably suspects fraudulent, unlawful, unauthorised, or suspicious activity
- Required by law, regulation, court order, government authority, regulator, banking partner, or payment provider
- Necessary to satisfy compliance, anti-money laundering, sanctions, fraud prevention, cybersecurity, risk management, or operational requirements
- The Customer fails to provide information or documentation reasonably requested by Trillion
- Trillion determines that continuing to provide the Services would expose Trillion, its partners, or other Customers to unacceptable legal, regulatory, financial, operational, or reputational risk
Where permitted by law and reasonably practicable, Trillion will make reasonable efforts to notify the Customer of any suspension, restriction, or termination.
Customer's Right to Close an Account
A Customer may close its account at any time by contacting Trillion and complying with any applicable account closure procedures.
Account closure will not affect any rights, obligations, liabilities, fees, charges, investigations, or transactions arising prior to closure.
Outstanding Balances and Obligations
Prior to account closure, Trillion may require the completion, cancellation, settlement, or reconciliation of any outstanding transactions, obligations, fees, liabilities, investigations, or compliance reviews.
Record Retention
Trillion may retain Customer information, account records, transaction records, and related documentation following account closure to the extent required by applicable law, regulation, legal process, or internal compliance requirements.
9. Changes to the Terms
Trillion may update, modify, or replace these Terms from time to time to reflect changes to the Services, legal or regulatory requirements, risk management practices, operational processes, or other business needs.
Where required, Trillion will notify Customers of material changes by:
- Posting the updated Terms on our website
- Providing notice through the Platform
- Sending notice by email, or
- Using any other reasonable method of communication
Unless otherwise required by law, changes will become effective on the date specified in the notice or upon publication of the updated Terms.
By continuing to access or use the Services after the effective date of any changes, the Customer agrees to be bound by the revised Terms.
If a Customer does not agree to the revised Terms, the Customer must discontinue use of the Services and, where applicable, close its account.
10. Governing Law and Jurisdiction
These Terms, and any dispute, claim, or matter arising out of or in connection with these Terms, the Services, or the relationship between Trillion and the Customer, shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.
Subject to any rights that may not be waived under applicable law, the courts of Nigeria shall have exclusive jurisdiction to hear and determine any dispute, claim, or matter arising out of or in connection with these Terms or the Services.
Nothing in these Terms shall limit Trillion's right to seek injunctive relief, equitable remedies, debt recovery, or other legal remedies in any jurisdiction where such action is necessary to protect its rights, assets, operations, Customers, or service providers.
